1. Agreement to These Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MaPott Health LLC ("MaPott," "we," "us," or "our") governing your access to and use of our website, platform, and services (collectively, the "Services").

By accessing or using the Services, creating an account, or clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by them. If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is greater), to use the Services. By using the Services, you represent and warrant that you meet this requirement.

The Services are not directed to children under 18. If we become aware that a child under 18 has created an account, we will terminate that account.

Business users represent that they are duly organized and authorized to enter into these Terms.

3. Account Registration

To access certain features of the Services, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Keep your account credentials confidential and not share them with others
  • Notify us promptly at team@ma-pott.com if you suspect unauthorized access to your account
  • Be responsible for all activity that occurs under your account

MaPott reserves the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are inactive for an extended period, with reasonable notice where practicable.

4. Subscriptions and Payments

4a. Subscription Plans

MaPott offers subscription-based access to the Services. Subscription plans, features, and pricing are described on our website and may be updated from time to time. All prices are stated in [INSERT CURRENCY] and are exclusive of applicable taxes unless otherwise noted.

4b. Billing and Renewal

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). By subscribing, you authorize us to charge your payment method automatically at the start of each billing period. Subscriptions automatically renew unless cancelled before the renewal date.

4c. Payment Processing

Payments are processed by third-party payment processors. By providing payment information, you represent that you are authorized to use that payment method. We do not store full payment card details on our servers.

4d. Price Changes

We may change subscription prices at any time. We will provide at least 30 days' advance notice of price increases, which may be given by email or notice within the Services. Your continued use of the Services after a price change takes effect constitutes your acceptance of the new price.

4e. Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. We do not provide prorated refunds for partial billing periods unless required by applicable law.

4f. Refunds

Except where required by applicable law, subscription fees are non-refundable. If you believe you have been charged in error, contact us at team@ma-pott.com within 30 days of the charge.

4g. Free Trials

We offer 30-day free trials of paid plans. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. We will notify you before this conversion occurs.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable local, national, or international law or regulation
  • Upload, transmit, or distribute content that is unlawful, harmful, defamatory, obscene, or invasive of another's privacy
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems
  • Use automated means (bots, scrapers, crawlers) to access or extract data from the Services without our prior written consent
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein
  • Use the Services to send unsolicited commercial communications (spam)
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services in any manner that could disable, overburden, or impair the Services

MaPott reserves the right to investigate and take appropriate action, including suspending or terminating access, against anyone who violates this section.

6. User Content

6a. Your Content

"User Content" means any data, text, files, information, or other materials you upload or submit to the Services. You retain ownership of your User Content.

6b. License to Us

By submitting User Content, you grant MaPott a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content solely as necessary to provide and operate the Services. This license ends when you delete the content or close your account, subject to backup and legal retention periods.

6c. Your Responsibilities

You are solely responsible for your User Content and represent that: (i) you own it or have the right to grant the license above; (ii) it does not infringe any third-party rights; and (iii) it complies with these Terms and applicable law.

6d. Our Rights to Remove Content

MaPott may, but is not obligated to, review, remove, or disable access to any User Content that we determine, in our reasonable discretion, violates these Terms or applicable law.

7. Intellectual Property

The Services and all content, features, and functionality provided by MaPott — including but not limited to software, text, graphics, logos, and interface design — are owned by [INSERT LEGAL COMPANY NAME] or its licensors and are protected by copyright, trademark, and other intellectual property laws.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. MAPOTT DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAPOTT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall MaPott's total cumulative liability to you for any claims arising from or relating to the Services exceed the greater of (a) the total fees you paid to MaPott in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to defend, indemnify, and hold harmless MaPott Health LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any rights of a third party.

13. Termination

MaPott may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Termination does not relieve you of any payment obligations incurred prior to termination.

Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law - will survive.

14. Modifications to the Services and Terms

MaPott reserves the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

We may also update these Terms from time to time. When we make material changes, we will notify you by updating the effective date and, where appropriate, by email or in-app notice. Your continued use of the Services after updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of the State of Ohio.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief in any competent court.

16. General Provisions

16a. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements.

16b. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

16c. No Waiver

MaPott's failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

16d. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. MaPott may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

16e. Force Majeure

MaPott will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet outages.
